SECTION 1 – ELECTED OFFICERS

 

1.1 PRESIDENT

 

1.1.1 The President shall administer the affairs of the Club according to the Constitution and By Laws and with the advice and consent of the other Executive Board members.


1.1.2 The President shall appoint ad-hoc and permanent committees as required.


1.1.3 The President shall appoint the Board of Directors with the approval of the Executive Board.

 

1.2 VICE PRESIDENT 

 

1.2.1 The Vice President shall be acting President upon the absence or incapacity of the President.


1.2.2 The Vice President shall perform other duties as assigned by the President.

 

1.3 SECRETARY

 

1.3.1 The Secretary shall keep and maintain all minutes of the Club and Executive Board meetings.


1.3.2 The Secretary shall provide services to the Club and the Executive Board as required.


1.3.3 The Secretary shall keep a record of all Club property, its condition and location.

 

1.4 TREASURER

1.4.1 The Treasurer shall receive all monies due the Club, pay the bills and disperse all necessary money that is approved by the officers of the Club.

1.4.2 The Treasurer shall prepare and present a written financial report to the membership at the annual meeting and a verbal report at the monthly meetings.

1.4.3 The Treasurer shall obtain approval of at least two members of the Executive Board for any expenditure in excess of $200. 

1.4.3.1 Without the required Executive Board approval, the expenditure must go to the general membership for approval.

1.4.4 As required by The Villages, our finance procedure is outlined below:

The Castaways Boat Worx requires dues of $10.00 per year that are collected by the elected Treasurer.  Income is obtained, recorded and secured along with distribution of expenditures by the Club Treasurer. When a major expenditure is required, the Treasurer shall obtain approval from the Executive Board as described in paragraphs 1.4.3 and 1.4.3.1 above. 

SECTION 2 – THE EXECUTIVE BOARD

2.1 The Executive Board shall provide a staff support function. They shall provide advice and counsel to the President and share the responsibility for the management and administration of the affairs of the Club.

2.2 A majority of the Executive Board members must be present for a quorum.

2.3 The Executive Board will establish overall policy of the Club and approve all functions.

2.4 The Executive Board will establish the annual dues amount.

SECTION 3 – ELECTION OF OFFICERS

3.1 Officers will be elected at the annual January Club meeting.

3.2 Officers and Directors can only hold office if their dues are current.

3.3 The terms of elected officers will be for one year.

3.4 There will be no limit on the number of years an officer may serve in any elected office.

3.5 The Executive Board shall fill any vacancy of an officer for the remainder of the year.

SECTION 4 – BOARD OF DIRECTORS

 

4.1 The Board of Directors will consist of six Directors appointed by the President with the approval of the Executive Board.


4.1.1 The Course Maintenance Director will maintain the site and buoys for the Club race course(s). 


4.1.2 The Publicity Director will promote the Club within The Villages using media and other available contacts.


4.1.3 The Training Director will provide technical and operational instructions to Club members.


4.1.4 The Site Safety Director will enforce NAMBA safety rules and ensure compliance of local rules as directed by the Executive Board.


4.1.5 The Race Director will execute each race as directed by the Executive Board.

 

4.1.6 The Race Coordinator will plan each race as directed by the Executive Board.

 

SECTION 5 – MEMBERSHIP DUES

5.1 The membership dues shall be from January 1 through December 31.

5.2 Collection of dues (for the following year) begins November 1st of each year.

SECTION 6 – RACING

6.1 The Executive Board will determine all rules and specifications of Club races under the general guidelines of NAMBA.

6.2 For purposes of Club racing, all participants must be a member of NAMBA and the member’s NAMBA number filed with the Secretary.

SECTION 7 – CLUB MEMBERS’ CONDUCT

7.1 All Club members must act in a reasonable and responsible manner. If an officer determines a member has committed a gross breach of good conduct or poor sportsmanship, the Executive Board has the responsibility to take action. The Executive Board will level penalties or other appropriate action within the constitutional powers, up to and including termination from the Club.

7.1.1 Action taken by the Executive Board shall not be taken under this rule without providing a written statement to the offending Club member and providing an opportunity for that member to defend themselves against the allegation at a hearing of the Executive Board.

SECTION 8- AMENDMENTS

8.1 The Club By-Laws may be amended by written ballot or show of hands in which two thirds of the voting membership approves the amendment change. To bring the amendment to the floor there must be a 28 day notice of the proposed amendment emailed to the membership
